Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or the "User") and Limelai Limited ("we", "us", "our", or the "Company"), a company registered in England and Wales (Company Number: 16486216), with its registered office at 86-90 Paul Street, London, EC2A 4NE.

By creating an account, accessing, or using the LimeProspect platform ("Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

2. Description of Service

LimeProspect is an AI-powered B2B prospecting and lead intelligence platform designed for UK businesses. The Service provides:

  • Company and contact discovery using publicly available data sources, including Companies House, Contracts Finder, and the Charity Commission
  • AI-generated prospect intelligence, scoring, and outreach recommendations
  • Email sequence automation and multi-step outreach workflows
  • Integrations with third-party email, calendar, and CRM services
  • Email deliverability monitoring and domain authentication checks
  • Signal feeds and real-time business intelligence alerts

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised access to or use of your account

You must be at least 18 years of age to create an account. Each account is for a single user and may not be shared. Workspace accounts may have multiple authorised users under a single billing relationship.

4. Subscription and Billing

Free Trial

New users are eligible for a 7-day free trial of the Service. The free trial provides full access to platform features as specified on our pricing page. No payment details are required to start the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

Paid Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of subscription. All prices are displayed in pounds sterling (GBP) and are exclusive of VAT unless otherwise stated.

Payment Processing

Payments are processed by Stripe. By subscribing, you authorise us to charge your designated payment method on a recurring basis. Failed payments may result in suspension of your account.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except where required by law.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Send unsolicited bulk email (spam) or engage in activities that violate anti-spam legislation
  • Harvest, scrape, or collect data from the Service for purposes not authorised by these Terms
  • Attempt to gain unauthorised access to the Service, other user accounts, or related systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Transmit malware, viruses, or any other harmful code
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure
  • Resell, sublicense, or redistribute access to the Service without our prior written consent

We reserve the right to suspend or terminate accounts that violate these acceptable use terms without notice.

6. Data Protection and Compliance

We process personal data in accordance with UK GDPR and our Privacy Policy. Our GDPR Compliance page provides further detail on our data processing practices.

Your Compliance Responsibilities

When you use LimeProspect's outreach features (including email sequences, contact enrichment, and prospecting tools), you are acting as an independent data controller for any personal data you process through the Service. You are solely responsible for:

  • Ensuring your use of the Service complies with UK GDPR, the Privacy and Electronic Communications Regulations 2003 (PECR), and any other applicable data protection legislation
  • Establishing a lawful basis for processing any personal data you collect, store, or use via the Service
  • Ensuring that any outreach communications you send through the Service comply with PECR, including obtaining consent where required for electronic marketing to individual subscribers
  • Responding to data subject access requests and other rights requests relating to data you control
  • Maintaining appropriate records of processing activities

LimeProspect provides tools to support your compliance obligations but does not provide legal advice. You should seek independent legal advice if you are uncertain about your obligations under UK GDPR or PECR.

7. Intellectual Property

The Service, including its software, design, text, graphics, logos, trademarks, and all other content, is owned by or licensed to Limelai Limited and is protected by copyright, trademark, and other intellectual property laws of England and Wales and international treaties.

All platform content, user interface design, scoring algorithms, data models and data compilations within the Service are the exclusive property of Limelai Limited or its licensors. This includes, without limitation, the structure and organisation of prospect data, AI-generated scores, intelligence summaries and any derivative datasets produced by the Service.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes, subject to these Terms.

You may not use the Service, its output or any data obtained through it to build, develop, market or operate any product or service that competes with or is substantially similar to the Service. This restriction applies during your use of the Service and for 12 months following termination.

Reverse engineering, decompiling, disassembling, scraping, crawling or any other form of automated data extraction from the Service is strictly prohibited. You may not use bots, spiders, scripts or any automated means to access, collect or index content from the Service beyond normal use through the provided user interface and APIs.

API access is provided subject to published rate limits and fair use policies. We reserve the right to throttle, suspend or revoke API access for any account that exceeds published rate limits or uses the API in a manner that we reasonably determine to be abusive, excessive or detrimental to the Service.

You retain ownership of any data you upload to or create within the Service. By using the Service, you grant Limelai Limited a non-exclusive, worldwide, royalty-free licence to process, store and use your uploaded data solely for the purpose of providing, improving and maintaining the Service. This licence terminates when you delete your data or close your account, except where retention is required by law or for legitimate business purposes as described in our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
  • AI-generated content, including prospect scores, summaries, and outreach recommendations, is provided for informational purposes only and should not be relied upon as the sole basis for business decisions.
  • Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you during the 12 months immediately preceding the event giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, data, or business opportunities.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Limelai Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Any outreach or communications you send through the Service

10. Termination

Either party may terminate the agreement governed by these Terms:

  • You may terminate by cancelling your subscription and closing your account at any time.
  • We may suspend or terminate your access to the Service immediately if you breach these Terms, or with 30 days' notice for any other reason.

Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period in accordance with our Privacy Policy and provide you with an opportunity to export your data upon request.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

12. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute arising under these Terms through good-faith negotiation for a period of 30 days. Notices of disputes should be sent by email to legal@limeprospect.com or by post to our registered address.

If the dispute cannot be resolved through negotiation, either party may refer the matter to the courts of England and Wales in accordance with Section 11.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.
